NONDISCLOSURE AGREEMENT/AGENCY DISCLOSURE In
exchange of, and as consideration for, valuable information given by
Broker (Oregon Business Properties, Inc.) to me, regarding any and all
businesses listed with them and which are shown to me, I hereby agree with
Broker that I shall not at any time, either directly or indirectly,
divulge, disclose or communicate to any person firm or corporation in any
manner whatsoever (except legitimate partners or investors with me in said
business, or professional advisors or consultants, and then only upon
their signing a like nondisclosure agreement) any information concerning
any matters affecting or relating to any of said businesses or the sale
thereof. Such information shall include, but not be limited to, an” of
the following: Customers of the business, suppliers, employees, the prices
it obtains or has obtained from the sale of its products, the fact the
business may be for sale, any and all financial records of the business,
and any trade secrets or protected business practices. The
information disclosed to me concerning any described business, including
the foregoing matters, is hereby stipulated by the parties to be
confidential, material and important and I agree not to use any such
information in a way that is detrimental to the owner of any business to
which this Nondisclosure Agreement applies. I specifically acknowledge that
potential harm to the business aid/or its sale may occur from any breach
of this Nondisclosure Agreement by way of reduction of sales, customer
defection, employee resignation, or any other means. All
the terms of the above paragraph shall remain in full force and effect
until I am, or a company in which I am a principal is, in complete
ownership and control of said business, or indefinitely or until the
business is sold to another party if I do not purchase said
business. All
brokers/salespersons represent the seller, not the buyer, in the
marketing, negotiating, and sale of property. However, the
broker/salesperson has an ethical and legal obligation to show honesty and
fairness to the buyer in all transactions.
